Introduction

These Terms of Use (“Terms”) form a binding agreement between you and Creative Cloud Limited trading as HeyTeam (“HeyTeam,” “we,” “us,” or “our”). By accessing or using our website, web app, or related services (collectively, the “Services”), you agree to these Terms. If you do not agree, do not use the Services.

1) Definitions

Account Owner: the customer entity and primary admin that enters into a subscription with HeyTeam.


Administrator/Manager: users granted elevated permissions by the Account Owner.


End Users/Contractors: users who receive job alerts, rota links, or otherwise interact with the Services.


Content: all text, data, templates, images, and materials available through the Services.


Customer Data: data submitted to the Services by or for the Customer, including contacts, rotas, jobs, and messages.


Messaging: outbound and inbound SMS, WhatsApp, email, and push notifications sent or received via the Services.

2) The Services

HeyTeam is an AI-assisted workforce coordination platform for scheduling, job dispatch, and team communications. Core capabilities include:


- Central job calendar and rota management


- Availability requests and quick Y/N responses


- Bi-directional SMS and messaging workflows (via Twilio)


- Secure rota/view links for contractors without login


- Custom SMS templates and auto follow-ups


- Multi-manager access and permissions


- AI-assisted suggestions to minimise wasted messages


- Optional location features (e.g., site verification) controlled by the Account Owner

3) Eligibility, Accounts, and Roles

You must be at least 18 and authorised by the Customer to use the Services. Account Owners are responsible for user access, permissions, contact list quality, and all account activity. Administrators/Managers may see information about End Users necessary to operate rotas, jobs, and messaging.

4) Data Protection and Privacy

Your use of the Services is subject to our Privacy Policy and Cookie Policy. For Customer Data, HeyTeam acts as a processor and the Customer is the controller. For prospects, website analytics, billing, and business records, HeyTeam acts as a controller.


AI Transparency: We use AI to assist with scheduling, availability matching, and message optimisation. AI outputs are assistive, not determinative. Human oversight is required. See Section 14 for AI terms.


Location Data If enabled, users may be asked to share location data for features. Users can control device permissions; some features may not function without them.

5) Messaging Services (SMS/WhatsApp/Email)

You must ensure contacts are valid and that you have a lawful basis to message them. You must honour opt-outs. Delivery is not guaranteed. Carriers may delay, block, or filter messages. We may throttle, filter, or suspend messaging to protect recipients or comply with law.

6) Subscriptions, Fees, and SMS Credits

Paid Services are provided on a subscription basis. Fees are charged in advance via Stripe. Each plan includes a monthly SMS allowance. You may purchase additional bundles.


No Rollover or Refunds: Unused SMS credits expire at the end of the billing period. No rollover is available. No refunds or credits are provided for unused SMS credits or partial months unless required by law.


Overage and Suspension: If you exceed your allowance, messages may fail or be blocked until credits are added.

7) Acceptable Use

You must not use the Services for spam, harassment, or unlawful activity; upload contact data without consent; interfere with the Services; misuse AI features; or share rota links publicly. We may suspend or terminate accounts for violations.

8) Third-Party Services and Integrations

The Services integrate with Twilio for messaging and Stripe for payments. Third-party services are subject to their own terms and privacy policies. We are not responsible for third-party performance or data handling outside of our processor agreements.

9) Intellectual Property

HeyTeam owns all rights in the Services, including software, APIs, algorithms, templates, and trademarks. You receive a limited licence to use the Services for internal business purposes. You retain ownership of your Customer Data and templates. You grant HeyTeam a licence to host and process data to provide the Services.

10) Confidentiality

Each party must protect the other's non-public information with reasonable care and use it only to perform under these Terms.

11) Service Availability and Support

We aim to provide reliable Services but they may be unavailable due to maintenance or external issues. Messaging deliverability depends on carriers and recipient devices.

12) Feedback

If you provide feedback, you grant HeyTeam a royalty-free, worldwide licence to use it to improve our Services.

13) Warranties and Disclaimers

The Services are provided “as is” and “as available.” We disclaim all warranties, including merchantability and fitness for purpose. We do not warrant uninterrupted or error-free operation.

14) AI Transparency, Limitations, and Responsibilities

AI features provide suggestions and recommendations. They do not replace managerial judgment. No solely automated decisions with significant effects are made. AI uses metadata and anonymised data where possible. We review outputs for fairness and can explain logic upon request. You must validate AI outputs before acting on them. HeyTeam is not liable for losses from reliance on AI without human verification.

15) Limitation of Liability

We are not liable for indirect, incidental, or consequential damages. Our total liability is limited to the fees paid in the preceding 12 months. Nothing limits liability for fraud or negligence causing death or injury.

16) Indemnity

You agree to indemnify HeyTeam from claims arising from your breach, misuse, or illegal use of the Services or AI features.

17) Term, Suspension, and Termination

These Terms remain effective while you use the Services. We may suspend or terminate for breach, non-payment, or abuse. You may cancel anytime; cancellation takes effect at period end. No refunds for unused SMS credits or partial months.

18) Changes to the Terms

We may update these Terms. Material changes will be communicated to Account Owners. Continued use constitutes acceptance.

19) Governing Law and Venue

These Terms are governed by the laws of England and Wales, and disputes will be resolved exclusively in its courts.
